1. Our Information

1.1. The use of the Navly platform and the services available on it is authorized according to these Terms and Conditions by NAVLY OÜ, a company located at Harju maakond, Tallinn, Kesklinna linnaosa, Ahtri tn 12, 15551, registered in Estonia with registry code 17346300 (hereinafter, "Navly", "We", "Us"), with email address [email protected].

1.2. For the purposes of these Terms and Conditions, "Navly" refers to NAVLY OÜ, as well as entities under its control, being part of the same business group (hereinafter, the "Affiliates").

2. Binding Terms and Conditions of Use

2.1. This document constitutes a contract that entails legal obligations for you. The Terms and Conditions of Use of the Navly platform (hereinafter, the "Terms and Conditions", "Conditions of Use" or "T&Cs") are binding and regulate the conditions of use, access, and utilization of the Navly marketplace and digital companion platform (hereinafter, the "Platform" or "Navly Platform") or through the mobile application.

2.2. Access to the Navly Platform grants the status of user to whoever uses it (hereinafter, the "User", "You" or "Your") and implies the full and complete acceptance of these Terms and Conditions, as well as the Privacy Policy of Navly. Full and unconditional acceptance of these Conditions of Use is essential for the use of the Platform.

2.3. Navly reserves the right to update these Terms and Conditions periodically to adapt them to regulatory changes and to provide better service. It is your responsibility to periodically review these terms and conditions. If you continue to use the Platform after a modification of these T&Cs, it will be considered that you have expressly accepted such modification.

2.4. You are not authorized to use the Platform if (a) you are a minor and do not have legal capacity to contract or (b) if a judicial or administrative authority has prohibited you from accessing and/or using this type of services in your jurisdiction.

3. Description of Navly Services

3.1. The Navly Platform is a digital marketplace and companion platform that offers structured guidance for navigating bureaucratic processes, progress tracking tools, gamification elements, and connections to trusted partner organizations (hereinafter, the "Services").

3.2. Navly operates as a marketplace facilitating connections between Users and Partner Organizations. Navly does not provide the underlying bureaucratic services directly but facilitates access to qualified service providers.

3.3. The Platform provides three interconnected service layers:

  • User Layer: Personal profiles, progress tracking, gamification elements, and account management
  • Bureaucracy Layer: Step-by-step guidance for administrative processes, document requirements, and procedural information
  • Partner Layer: Access to trusted organizations offering professional services related to bureaucratic processes

4. Registration and Account Types

4.1. To access the Platform, you must provide accurate, truthful, current, and complete information during registration. You are obligated to keep your Registration Data updated.

4.2. Navly offers different account types:

  • Basic (Free): Access to basic guidance and progress tracking
  • Premium (€9.99/month): Enhanced features, priority support, and advanced gamification
  • Pro (€19.99/month): Full platform access, unlimited partner connections, and premium support

4.3. Partner Organizations have separate subscription tiers with different service levels and commission structures.

4.4. Navly reserves the right to deny access if it detects inaccurate, false, or fraudulent data.

5. Marketplace Services and Commission Structure

5.1. Marketplace Model: Navly operates as a digital marketplace connecting Users with Partner Organizations that provide services related to bureaucratic processes. When you engage with partner services:

  • You enter into a direct contractual relationship with the service provider
  • Navly facilitates the connection but is not the direct service provider
  • Each partner maintains their own terms, conditions, and service standards
  • Service quality and delivery are the responsibility of the partner organization

5.2. Commission Structure: Navly applies a tiered commission on all paid services purchased through our marketplace, based on the total transaction amount:

  • 10% commission on transactions from €0 to €200
  • 6% commission on transactions from €201 to €500
  • 5% commission on transactions above €501

This commission:

  • Is automatically calculated and displayed before transaction completion
  • Covers platform maintenance, security, payment processing, and support services
  • Is already included in the partner’s listed service price
  • Is non-refundable, even if you request a refund from the partner

5.3. Payment Processing: All payments are processed through Stripe and Stripe Connect. By making a purchase, you agree that:

  • Payment information must be accurate and current
  • You authorize the total amount including our commission fees
  • Payments for partner services are processed via Stripe Connect directly to partners
  • Subscription payments are processed separately by Navly
  • Failed payments may result in service suspension

6. Data Sharing and Privacy

6.1. Partner Service Data Sharing: When you engage with Partner Organizations through our platform, you explicitly consent to sharing relevant personal information with them to facilitate service delivery. This may include:

  • Contact information (name, email, phone number)
  • Location and residency status
  • Bureaucratic process requirements and progress
  • Document status and requirements

6.2. Data Protection Standards: Navly maintains strict data protection standards:

  • Personal data is never sold to third parties
  • Data is only shared with partners when you actively engage their services
  • Third-party sharing only occurs for legal requirements or under signed NDAs
  • All partner organizations must comply with GDPR and data protection regulations
  • You maintain the right to withdraw consent for data sharing at any time

6.3. Analytics and Improvement: Navly may use anonymized, aggregated usage data for platform improvement and analytics, but never shares individual user data without explicit consent.

7. User Responsibilities

7.1. You are responsible for maintaining the confidentiality of your username and password and will not allow anyone to use your authorization credentials.

7.2. You commit to using the Platform in accordance with current legislation, accepted morals and customs, public order, and these Terms and Conditions.

7.3. It is strictly prohibited to use the Platform for purposes that are unlawful, prohibited, or harmful to the rights and interests of third parties. In particular, you may not:

  • Systematically retrieve data without prior written consent from Navly
  • Circumvent, disable or interfere with security features of the Platform
  • Access or attempt to access other user accounts
  • Deceive or defraud Navly or other Users
  • Sell, share or transfer your profile or credentials
  • Upload or transmit malware or harmful code
  • Infringe Navly's intellectual property rights

8. Partner Organization Responsibilities

8.1. Partner organizations using our marketplace must:

  • Provide accurate service descriptions and transparent pricing
  • Honor their stated terms and delivery commitments
  • Handle customer service for their specific services
  • Comply with applicable laws, regulations, and data protection requirements
  • Maintain professional standards and qualifications
  • Process customer data in accordance with GDPR and privacy regulations

9. Intellectual Property Rights

9.1. Navly is the owner and/or holder of all intellectual property rights over the Services and the Platform, including updates, improvements, and modifications.

9.2. You are granted a non-exclusive, limited, non-transferable, and revocable license to access and use the Platform for personal use only, never for commercial purposes or resale.

9.3. You acknowledge that no ownership rights, licenses, or permissions over Navly's trademarks, logos, domain names, or intellectual property are granted through these Terms.

10. Limitations of Liability

10.1. Information Accuracy: While we strive to provide accurate information about bureaucratic processes, requirements may change frequently. You should always verify information with official sources before taking action.

10.2. No Legal Advice: Navly provides general information and guidance but does not provide legal advice. For complex situations, consult qualified professionals.

10.3. Platform Availability: Navly makes the Platform available 24 hours a day but is not responsible for internet service unavailability or technical issues beyond our control.

10.4. Partner Service Limitation: Navly is not responsible for partner service quality, delivery, or performance. Disputes should be resolved directly with partner organizations.

10.5. Maximum Liability: In case of breach of these terms, the maximum liability of Navly will not exceed the total amount paid by the user to Navly in the twelve (12) months prior to the incident.

11. User Indemnification

11.1. Users commit to indemnify, defend and hold harmless Navly for all losses, liabilities, damages, and claims arising from:

  • Any breach of these Terms and Conditions by the User
  • Violation of any law or third-party rights that affects Navly
  • Claims related to User data or information shared with partners
  • Misuse of the Platform or partner services

12. Dispute Resolution and Refunds

12.1. For Partner Services:

  • Contact the partner organization directly for service-related issues
  • Navly can assist with mediation but is not liable for partner performance
  • Platform commission fees are separate from any partner refunds
  • Persistent issues may result in partner removal from our marketplace

12.2. For Subscription Services: Subscription refunds are handled according to our refund policy available on the Platform.

13. Duration and Termination

13.1. These Terms have indefinite duration from acceptance unless a specific contract of determined duration exists.

13.2. Users may terminate their account at any time by written communication to [email protected].

13.3. Upon termination, access to the Service ceases and account data is handled according to our Privacy Policy.

14. Modifications to Terms

14.1. Navly reserves the right to modify these Terms at any time. Users will be notified of significant changes through the platform or via email.

14.2. Continued use of the Service after modifications constitutes acceptance of the updated Terms.
